The terms of service shown here represent Piddx Incorporated (Piddx, Inc.), Piddix, and the website found at Piddx.com. Hereof any mention of "we", "our", or "us" refers to Piddx, Inc. and the website Piddx.com. The word "service" refers to any offering of Piddx, Inc. including those offered through the website Piddx.com. Unless otherwise stated, any reference to "Piddx" refers to Piddx, Inc., and the website found at www.Piddx.com. Upon using the service, all participants agree that they have read and agree with the terms of service presented here in their entirety, or must discontinue use of the service immediately. If any part of the service is not deemed acceptable, use of the service must be discontinued. All participants of our service agree that they are of legal age (18 years of age, or older) and follow all applicable state and local laws while using our services, and while interacting with individuals for services orchestrated through Piddx.com. Participants of our service will henceforth be referred to as "Users", and it will be understood that any instance of the words "User", "Users", or "You" in this Terms of Service agreement refers to anyone accessing and using our service. It must also be understood that this Terms of Service agreement can change at any time, and we urge Users to visit this website frequently for updates to this agreement. Upon our posting of this agreement, you have agreed to its content.

Piddx.com acts solely as an intermediary

Piddx, Inc. is solely a mechanism providing discovery of Users with which goods and services can be exchanged. We also provide communication services through which Users can coordinate transfer of goods and services. Piddx does not take responsibility for the quality, timing and/or legality of User's efforts during interactions between two or more entities using our services. Piddx, inc does not perform analyses to verify the identity of Users of it's service. We recommend that Users verify the veracity of information provided by other Users through public and/or private means, including messaging, e-mail, phone call and teleconferencing before meeting to accept, or complete a job. Piddx, Inc. is not responsible for misinformation provided by Users of the service, including but not limited to identity, location, age, or gender. We are also not responsible for misrepresentation performed by any User of their past and/or present work experience, scholarly experience, and/or knowledge base. Please use all tools available to you to confirm veracity of user information before entering into an interaction with any User on the service. Piddx, Inc. will not be held responsible for any claim based on any interaction online or offline.

Piddx.com is Not an employment service

Piddx is a discovery and messaging service and is Not an employment service. We do Not employ any of our Users, and we are Not responsible or liable for any taxes or tax withholding, including but not limited to federal taxes, state/local taxes, social security tax, employer’s liability, payroll withholding, or unemployment insurance that may have accrued in relation to the use of our service. If it is found that a User’s activities have burdened Piddx with a tax liability, the User in question must immediately pay Piddx the full amount of the liability, including any liabilities accumulated due to the original liability (penalties or interest).

Termination and Suspension

Piddx expects the utmost respect from its Users, and condemns the use of profane, sexually explicit, and/or racist language, images and/or material. Piddx, Inc. and Piddx.com can terminate the service of a User for any reason at any time. The User facing termination will be sent an e-mail informing the User as to the termination or suspension. Immediately upon sending this e-mail, the User's account will be terminated or suspended. Piddx, Inc. is under no obligation to explain the reason for the termination or suspension, but may reveal information regarding the suspension or termination, at our discretion. Terminated accounts have lost all rights to information, images, reviews, acquired data, images, and any other User-generated information or data that appear on Piddx.com, or are held on any Piddx owned or leased equipment, including but not limited to servers. Users will not be refunded for any portion of a transaction left uncompleted, and any User left with an uncompleted transaction due to termination of a partnering User is solely responsible for enforcing job completion, and indemnifies Piddx in this transaction. Piddx will not be held responsible for half-completed jobs due to termination and/or suspension of a User in a transaction. Upon termination of a User's account, said User will still be held accountable to these terms of service. Piddx, Inc. reserves all rights to legal action with no limitations.

Account Security

Piddx expects Users to secure their user account and information from others. Users are discouraged from sharing their passwords and/or accounts with others. Users are responsible for the content and veracity of their account, and all activities emanating from their accounts. If a User of our service suspects that someone is using their account without permission we expect the user to change their password to a more secure password, that does not contain their actual name or User name in the password, and to contact Piddx immediately. Piddx is not to be held responsible for fraud caused by loss of account security by any User.

Protection of User Information

Users understand that some of their information will be available openly for others to view. Although some User information is openly available to others, Users may not take other User's information, including but not limited to: name(s), e-mail address(es), physical address(es), phone number(s), or any other information provided by a User, for use that is unauthorized by the User.

Copyrights

Piddx takes copyright law seriously. Users are prohibited from posting copyrighted material, not limited to: pictures, videos, music, sounds, and/or written material that they do not own the copyright to. Any cases of copyright infringement will be met by immediate removal from our website. If you believe that your copyright has been violated on our service please contact copyright@piddx.com, or send a notice to: Piddx, Inc., 340 Cooley Street, Suite 127, Springfield, MA 01128. All claims must include 1) A description of the copyright, with a description of the location on our service where it exists, and a URL of the web-page on our service containing the claimed material, 2) a physical and/or web address containing information on the copyrighted status of the material, 3) your contact information, including your name, addresses (physical and e-mail), a statement made under penalty of perjury that you own the copyrighted material, or act on the behalf of the owner, and a signature of the owner of the material, or a legal representative of the owner.

Links to third-party websites

Hyperlinks, referred to as "links" in this agreement, to third-party websites can and do exist on the Piddx service. Piddx does not endorse and is not responsible for the material transmitted to you upon clicking or otherwise following any third-party link, and you follow these links at your own risk. You understand that any third-party material is governed by it's own terms of service, and that it is not governed by these terms of service. You understand that Piddx is not responsible for liabilities arising from third-party links, and you agree that you do not hold Piddx responsible from any damages or liabilities incurred to you resulting from a link found on our service. You agree to indemnify and hold Piddx harmless for any liability or damages caused by following a third-party link.

User Conduct

Users are expected to show the utmost respect to other users and Piddx employees. Users must refrain from: -posting and/or otherwise disseminating disrespectful, discriminatory, bigoted, hateful, racist, and/or sexist language and/or content -impersonating other users, using other User's information without permission, impersonating Piddx employees, or otherwise implying implicitly or explicitly that Piddx authorized and/or endorsed any of your content -threatening physical harm of any user or group implicitly or explicitly -uploading or downloading any file that cannot be legally distributed or shared -uploading or downloading any file to Piddx services and/or servers that is meant to be shared with people outside of the Piddx service. -upload or download files on our service that are virulent and can cause alteration to a User's computer, including Trojan horses, viruses, worms, or any other malware. -Using the service in any way that violates state or federal laws. -harassing, stalking, defaming, or otherwise abusing any User, or any person outside of our service through our service. -spamming Users and/or people unaffiliated with Piddx with redundant information -Violating the legal rights of any user -violating the privacy of any User. -Interfering with or violating the operation of the Piddx website and servers in any way -using any process or software to automatically and/or manually mine, scrape, or index any information provided by Piddx -contacting a user for any purposes not sanctioned or promoted by Piddx, including unsolicited commercial offers, contests, or surveys. -attempting to use any property of Piddx.com for you own commercial use -uploading or otherwise distributing property owned by others, including copyrighted works.

Trademarks and Intellectual Property

Piddx, along with "Work the Network" are service marks of Piddx Inc. All code, HTML, text, pictures, logos, graphics, data, formatting, videos, images, sounds, and designs visible and/or audible on our service are the property of Piddx, Inc., unless otherwise noted. The property of Piddx, Inc. may not be copied, transmitted, modified, rearranged, or used in any other manner without prior written approval of Piddx, Inc. All property of Piddx, Inc is protected under the United States Copyright Act.

This agreement and the service can change at any time

We reserve the right to change this agreement and the offerings of the service at any time with no prior notice. This agreement and the service may have features added, subtracted, and/or modified at will, and we reserve the right to discontinue, suspend, or otherwise modify any features or components of our service with no prior notice. Your use of the service after any changes to the terms presented here signifies that you agree with the changes in their entirety, otherwise you must discontinue use. All Users agree to these terms and must be in compliance, otherwise they must suspend use of the service. If any revisions to the terms of service cause you to not be in compliance, you must either make the changes required to fall back into compliance by abiding by our new terms, or immediately suspend use of the Service.

Special Promotions

We may provide promotions from time to time for current and new Users of our platform. Any and all promotions run at the sole discretion of Piddx, and they can be created, activated, modified, or removed at any time by Piddx without any advanced notification.

No Agency

No independent contractor, agency, partnership, joint venture, franchiser-franchisee or employer-employee relationship is intended or created by the Agreement.

Release

Piddx is only a venue for connecting Users. Piddx is not involved in the contact between Users. In the event that You have a dispute with another User, or more than one user, you release Piddx.com, Piddx, Inc (and our officers, directors, agents, investors, subsidiaries, and employees) from any and all claims, demands and/or damages (actual or consequential) of every kind and nature, know and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. Piddx expressly disclaims any liability that may arise between Users and its Service.

Indemnification

You hereby agree to indemnify, defend, and hold harmless Piddx (found at www.Piddx.com, Piddx, Inc.), its directors, officers, employees, agents, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates from and against any and all claim, loss, expense or demand of liability, including attorney's fees and costs incurred, in connection with your use or inability to use our service. Piddx reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the written consent of Piddx.

Disclaimer

USE OF PIDDX IS ENTIRELY AT YOUR OWN RISK. THIS SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, INCLUDING THAT THE SERVICE WILL OPERATE CONTINUOUSLY, UNINTERRUPTED OR ERROR-FREE. WE ALSO PROVIDE NO WARRANTY AS TO RESULTS OBTAINED BY USING THE SERVICE, OR TO THE ACCURACY, RELIABILITY OF CONTENT OR SERVICE PROVIDED BY US OR BY USERS OF THE SERVICE. PIDDX STRIVES FOR A SEAMLESS USER EXPERIENCE, HOWEVER WE MAKE NO WARRANTY ON LACK OF MALICIOUS SOFTWARE, INCLUDING BUT NOT LIMITED TO VIRUSES, TROJAN HORSES, WORMS, OR OTHER MALWARE ON THE SERVICE.

Limitations of Liability

YOU AGREE THAT PIDDX AND ITS EMPLOYEES, DIRECTORS, AGENTS, OFFICERS, CORPORATE AGENTS AND PARTNERS ARE NOT LIABLE FOR DAMAGES, CLAIMS, AND/OR SUITS THAT ARISE BASED ON THE USE OR INABILITY TO USE OUR SERVICE, INCLUDING BUT NOT LIMITED TO LIABILITIES ASSOCIATED WITH THE CONDUCT, OR LACK OF CONDUCT OF A USER, OR USERS. YOU ALSO AGREE TO INDEMNIFY PIDDX AND ITS EMPLOYEES, DIRECTORS, PARTNERS, AGENTS, AND ATTORNEYS AGAINST ANY AND ALL CLAIMS, LOSSES, EXPENSES, INCLUDING LAWYERS FEES AND COSTS ASSOCIATED WITH YOUR USE OF, OR INABILITY TO USE THE SERVICE.

ALL USERS HEREBY ACKNOWLEDGE THAT THEY HAVE READ THIS AGREEMENT, AND UNDERSTAND AND AGREE WITH THE TERMS. USE OF THE SERVICE CONSTITUTES AN ACKNOWLEDGEMENT THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS PRESENTED IN THIS AGREEMENT.
